Entry Period: The Promotion begins at the time of Sponsor’s designated Promotion post on the @pfchangs official Instagram account and ends at 11:59:59 PM PT on Thursday, December 25, 2025 (“Entry Period”). Sponsor’s computer system is the official timekeeping device. The Promotion is subject to all applicable federal, state and local laws and regulations.

Eligibility: Promotion is open only to legal residents of the U.S. and D.C. (excluding RI and Puerto Rico), who are age 18 or older, or the age of majority in their state of residence, whichever is older, as of date of entry. Employees, officers, and directors of P.F. Chang’s China Bistro, Inc. and its parents, subsidiaries, affiliates and their respective employees, contractors, directors and officers; the officers, directors, shareholders, members, employees and agents of their respective franchisees, suppliers, distributors, advertising and promotional agencies, as applicable; and the immediate families (defined as spouse, mother, father, sisters, brothers, sons and daughters, regardless of where they reside) and members of their households (whether related or not) of these entities, and all others associated with the development and execution of the Promotion (“Released Parties”), are not eligible to participate in the Promotion. All federal, state, and local laws apply. Void outside of the U.S. and D.C., and wherever restricted or prohibited by law.

How to Enter: During the Entry Period:

1. Follow @pfchangs on Instagram;
2. Like Sponsor’s designated Promotion post; and
3. Comment on Sponsor’s designated Promotion post with your favorite P.F. Chang’s dish.
4. Bonus Entry: Tag a friend on Sponsor’s designated Promotion post.

Limit one (1) entry per Instagram account. Entrants must have a non-private Instagram account for their entries to be eligible. Changing your Instagram handle during the Entry Period or before prize fulfillment may result in disqualification.

Prizes & Odds of Winning:A maximum of twelve (12) prize awards will be available. Each eligible entrant designated as a prize winner shall be awarded one (1) $100 P.F. Chang’s Gift Card. Gift Card may be awarded as either a physical gift card or electronic gift code, which shall be solely determined by Sponsor. Each Gift Card is valid for purchases at participating P.F. Chang’s restaurants in the United States. Gift Cards are subject to terms and conditions of use, are not redeemable for cash (except as required by law), may not be replaced if lost or stolen, and may not be resold. Use of a Gift Card constitutes acceptance of all applicable terms. Odds of being selected as a prize winner are dependent upon the total number of eligible entries received. Each prize has an approximate retail value (“ARV”) of $100. Total ARV of all prizes: $1,200.

Prize Winner Selection & Notification: On or about Friday, December 26, 2025, Sponsor will conduct a random drawing from all eligible entries to select twelve (12) potential winners. The potential winners will be notified via direct message to their Instagram account from @pfchangs. If the potential winner does not respond within 48 hours of notification, fails to meet eligibility requirements, or is otherwise disqualified, Sponsor may award that prize to an alternate entrant selected at random from remaining eligible entries.

Please note that @pfchangs is Sponsor’s only account on Instagram. All others pretending to be Sponsor are fake and should be reported and blocked immediately. Sponsor will never ask you to provide a credit card, bank account information, or payment in order to claim a prize. If you receive any such request, it is not from Sponsor.

General Conditions: Participation in the Promotion constitutes each entrant’s full and unconditional agreement to and acceptance of these Official Rules, including, but not limited to, entrant’s consent to receive Instagram direct messages from Sponsor in connection with the Promotion. Any and all decisions of Sponsor with respect to the Promotion shall be final and legally binding in all respects.

Sponsor reserves the right, at its sole discretion, to cancel, modify, or suspend the Promotion if it cannot be run as planned for any reason, including technical failures or unauthorized interference, and to award the prize from eligible entries received prior to such cancellation. Sponsor may disqualify any entrant who tampers with the entry process or violates these rules.

All federal, state, and local taxes and any other costs and expenses associated with acceptance and use of a prize not expressly stated in these Official Rules are the sole responsibility of each winner.

Additional Rules & Restrictions: By participating, entrants agree to abide by and be bound by the Official Rules and the decisions of the Sponsor, which shall be final in all matters relating to this Promotion. In the event an entrant wins a prize and is later found to be in violation of these Official Rules, the entrant will be required to forfeit the prize or to reimburse Sponsor for the stated value of the prize if such violation is discovered after winner has used the prize.

False, fraudulent or deceptive entries or acts shall render entrants ineligible for any prize. Entrants are restricted to use of ordinary and typical computer equipment, mobile phone equipment, Internet access and cellular networks. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds tampering with the operation or entry process of the Promotion (including but not limited to any form of automated entry, including the use of macros, scripts or bots), or acting in violation of these Official Rules or applicable law.

Entries delayed past the entry deadline of the Entry Period for the Promotion will not be accepted. Sponsor is not responsible for lost, late, incomplete, invalid, illegible, or misdirected entries, which will be disqualified; for technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; any failed, incomplete, garbled or delayed computer transmissions or any combination thereof; or for any error, human, technical or otherwise; or any injury or damage to Participant’s or any other person’s computer related to or resulting from entering, participating in, or accessing or downloading information in connection with, the Promotion.

In case of dispute as to the owner of an entry, the entry will be deemed to have been submitted by the authorized account holder of the Instagram account from which the entry is made. A selected entrant may be required to provide Sponsor with proof that they are the authorized account holder of the Instagram account associated with the selected entry.

Additional Instagram Comment Entry Submission Requirements: Sponsor reserves the right to, in its sole and absolute discretion, disqualify any entry and/or submission for any reason that it considers to not be appropriate for the Promotion. Entry submission restrictions include, but are not limited to, the following requirements:

• • may not depict any individual under the age of eighteen (18) or under the age of majority in their state of legal residence, whichever is older, or that appears to be under the age of majority in any photo or image submitted;
• • may not depict or include any comments, descriptions or images that may be considered unlawful, harmful, threatening, violent, abusive, harassing, tortuous, defamatory, vulgar, libelous, invasive of another’s privacy, hateful, or racially, religiously, ethnically or otherwise objectionable in any manner as solely determined by Sponsor;
• • may not defame, slander, libel, misrepresent or contain disparaging remarks or any other content that could adversely affect the name, reputation or goodwill of the Released Parties or any other individuals and/or entities affiliated or associated with Sponsor, the Promotion or any prizes, the determination of which shall remain in the sole discretion of Sponsor;
• • may not depict or promote excessive or underage drinking, drugs, tobacco or firearms;
• • may not contain or reference nudity, inappropriate, indecent, sexually explicit, pornographic or obscene content or images (which shall be determined by Sponsor, in its sole and absolute discretion);
• • may not include material that is unlawful, in violation of or contrary to applicable federal, state, or local laws and regulations.

Any submission that does not comply with the above requirements or any other requirement herein is subject to disqualification and Sponsor reserves the right at its sole discretion to remove any submission if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein.

Release of Liability: By participating, entrants agree to hold Meta Platforms, Inc. and all Released Parties harmless from any claims, losses, actions, or damages of any kind, whether actual, incidental or consequential, for injury (including but not limited to death), damages, losses or expenses arising out of or relating to entrant’s participation in this Promotion, or the acceptance, possession or use/misuse of any prize, or participation in prize-related activities (including but not limited to travel or activity related thereto), and to assume all liability therefor.

Released Parties shall not be liable to winner or any other person for failure to supply the prize or any part thereof by reason of any acts of God, pandemics, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ sole control.

Publicity: Participation in the Promotion constitutes permission for the Sponsor and its designees to use entrants’ names, social media handles, cities and states of residence and/or likenesses for purposes of advertising and trade in any and all media now or hereafter known worldwide in perpetuity without limitation or further compensation, notification or permission, unless prohibited by law. Any personal information collected in connection with this Promotion will be used in accordance with Sponsor’s Privacy Policy, available at https://www.pfchangs.com/privacy-policy.

Dispute Resolution: By participating in the Promotion, each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of Arizona; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, and in no event will entrant be entitled to receive attorneys' fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with the laws of the State of Arizona, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Arizona or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Arizona.
